# Terms of Service

**1. Introduction**

Welcome to **Script & Theory**. These Terms of Service ("Agreement") are a binding contract between you ("Customer," "you," or "your") and Script & Theory ("Script & Theory," "we," "us," or "our"). This Agreement governs your access to and use of the products and services provided by Script & Theory (the "Services") detailed on our website at <https://scriptandtheory.com> (the "Site"). By downloading, installing, or using the Services, you agree to be bound by this Agreement. If you do not agree, please do not use the Services.

**2. Communications**

By using the Services, you consent to receive newsletters, marketing, promotional materials, and other information from us. You may opt-out of these communications at any time by following the unsubscribe link or instructions provided in our emails.

**3. Fees and Payment**

We may offer Services on a trial basis, free of charge, which may be time-limited. After the trial period, continued use of the Services may require payment of applicable fees ("**Fees**") as per the selected plan ("**Plan**" or "**Subscription**"). Billing occurs in advance on a recurring monthly basis ("**Billing Cycle**"). Your Subscription will automatically renew at the end of each Billing Cycle unless canceled by you or by us. You can cancel your Subscription through your online account management page or by contacting us at <team@scriptandtheory.com>. All Fees are non-refundable and processed via Shopify in U.S. Dollars unless stated otherwise.

**4. Free Trial**

At our discretion, we may offer a free trial of a Plan for a limited time ("**Free Trial**"). You may be required to select a paid Plan after the Free Trial expires. We reserve the right to modify or cancel the Free Trial offer at any time without notice.

**5. Fee Changes**

Script & Theory may modify Subscription fees at any time. Any fee changes will apply only to new Subscriptions or renewals after the change. We will provide reasonable prior notice of any fee changes to give you an opportunity to cancel your Subscription before the change becomes effective.

**6. Refunds**

Refund requests are reviewed on a case-by-case basis and granted at the sole discretion of Script & Theory.

**7. Content**

Our Service allows you to post, link, store, share, and otherwise make available information, text, graphics, videos, or other material ("Content"). <mark style="color:red;">**You are responsible for the legality, reliability, and appropriateness of the Content you post.**</mark> <mark style="color:red;">By posting Content, you represent and warrant that you own the Content or have the right to use it and that it does not violate any rights of any person or entity.</mark> We reserve the right to terminate the account of anyone found to be infringing on a copyright or breaching these representations and warranties.

**8. Accounts**

When creating an account with us, you must provide accurate, complete, and current information. Failure to do so may result in the termination of your account. You are responsible for maintaining the confidentiality of your account and password and for any activities that occur under your account. Notify us immediately of any unauthorized use of your account.

**9. Acceptable Use Policy**

You agree not to use the Site or Services in any way that causes damage, is unlawful, fraudulent, harmful, or in connection with any unlawful activity. Prohibited activities include, but are not limited to, posting offensive content, infringing on intellectual property rights, distributing malware, and engaging in data mining without our consent.

**14. Termination**

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason, including breach of this Agreement. If you wish to terminate your account, you may discontinue using the Services. Provisions that should survive termination will remain in effect.

**15. Disclaimer**

The Services are provided "as is" without warranties of any kind. Script & Theory disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements, operate without interruption, or be error-free.

**16. Limitation of Liability**

In no event shall Script & Theory be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or in connection with the Services. Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.

**17. Indemnification**

You agree to defend, indemnify, and hold harmless Script & Theory and its employees, contractors, agents, officers, and directors from any claims, damages, obligations, losses, liabilities, costs, or debts arising from your use of the Services, breach of this Agreement, or Content posted on the Services.

**18. Governing Law**

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

**19. Changes to This Agreement**

We reserve the right to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice before the new terms take effect. By continuing to use the Services after revisions become effective, you agree to be bound by the revised terms.

**20. Service Commitment**

We strive to make the Services available with a monthly uptime of at least 99.9%. This commitment does not apply to unavailability caused by factors outside our control, your breach of this Agreement, technical issues on your part, or scheduled maintenance.
